Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and RAA, Inc. ("RAA," "we," "us," or "our"), governing your access to and use of Alyph (the "Service").
PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS, WHICH INCLUDE A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 8.
1. The Service and Eligibility
In Plain English:
You have to be at least 13 to use Alyph. We offer tools powered by third-party AI companies, and we might update or change these models as technology improves.
Alyph provides an interface to interact with third-party Large Language Models ("AI Models") on a digital canvas. RAA reserves the right to add, remove, or modify the AI Models available via the Service at any time without prior notice.
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract.
2. Billing & Payments
In Plain English:
You prepay for your usage. We securely charge your card via Stripe. Funds are non-refundable, but you can set spending limits so you're never surprised by a bill.
Pre-Funded Balance: Access to premium AI features requires a pre-funded account balance ("Balance"). Costs for AI generation requests are deducted from this Balance at rates designated within the Service. If your Balance is exhausted, access to generation features will be suspended until replenished.
Auto-Recharge: If you opt into Auto-Recharge, you authorize us to charge your saved payment method automatically when your Balance falls below your designated threshold.
No Refunds: All payments are processed by our third-party provider, Stripe, Inc. Unused Balances and completed AI generations are non-refundable, except where required by law.
3. Content and Intellectual Property
In Plain English:
You own the documents and notes you put into Alyph. We claim no ownership over the text generated by the AI for you.
Your Content: You retain all intellectual property rights to the text, files, and data you submit to the Service ("Your Content"). You grant RAA a limited, worldwide, non-exclusive license to process Your Content strictly as necessary to operate the Service and pass it to AI Providers via our Enterprise APIs.
AI Outputs: RAA claims no ownership rights over the outputs generated by the AI Models in response to Your Content. Rights to AI outputs are subject to the terms of the underlying AI provider. You assume all responsibility for verifying the accuracy of AI outputs and ensuring you have the right to use them.
Our IP: The software, visual interfaces, and branding of Alyph are the exclusive property of RAA, Inc. and are protected by copyright and trademark laws.
4. Acceptable Use
In Plain English:
Please don't use our software to do anything illegal, generate harmful content, reverse engineer our application, or run automated scraping bots.
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law.
- Generate or distribute child sexual abuse material (CSAM), non-consensual intimate imagery, or content that promotes terrorism or violence.
- Attempt to reverse engineer, decompile, or otherwise derive the source code of the Service.
- Use automated systems, scrapers, or bots to extract data from the Service or bypass our rate limits.
- Infringe on the intellectual property or privacy rights of third parties.
5. Termination
In Plain English:
You can close your account anytime. We can suspend or delete your account if you violate these rules.
You may terminate your account at any time by contacting support. RAA reserves the right to suspend or terminate your access to the Service, without notice, if we reasonably determine that you have violated these Terms or posed a security risk to the platform.
6. Warranties and Disclaimers
In Plain English:
We work hard to make Alyph great, but the software is provided 'as is'. AI can make mistakes (hallucinate), so please review important outputs.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, RAA, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Furthermore, RAA does not guarantee the factual accuracy, reliability, or copyright status of any output generated by third-party AI Models.
7. Limitation of Liability and Indemnification
In Plain English:
If something goes wrong, our financial liability is capped at the amount you've paid us in the last year. If your actions get us sued, you agree to cover our legal costs.
IN NO EVENT SHALL RAA, INC., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
In no event shall our total aggregate liability arising from or related to these Terms exceed the greater of (i) one hundred U.S. dollars ($100) or (ii) the total amount you paid to RAA for the Service in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless RAA, Inc. from any claims, damages, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.
8. Governing Law and Arbitration
In Plain English:
If we have a legal dispute, we agree to resolve it through private arbitration rather than a public court case, and we waive the right to class action lawsuits.
Governing Law: These terms shall be governed by the laws of the State of Delaware, without respect to its conflict of laws principles.
Binding Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware or remotely via video conference.
Class Action Waiver: YOU AND RAA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
